What These Terms Are For
These terms exist to make the working relationship clear and fair for both parties. We've tried to write them in language that's readable rather than impenetrable — not because we're being casual about legal obligations, but because both parties are better protected when they actually understand what they've agreed to.
Here are the key things to understand before reading the detail:
- Defined Scope: Every project starts with a written agreement that specifies what we'll deliver, when, and at what cost. Work outside that scope is handled through a change order.
- AI Chat Assistant: Our website includes an AI-powered assistant for initial guidance. Its responses are informational only and do not constitute quotes or commitments.
- Collaboration Required: Good projects require both parties to show up. We depend on timely feedback and clear direction from you to stay on track.
- Payment Structure: Projects are typically invoiced 50% upfront, 30% at a defined midpoint milestone, and 20% on delivery.
- Intellectual Property: Upon full payment, you receive a licence to use the final deliverables for their intended purpose. We retain ownership of source files, which are available for separate purchase.
- Confidentiality: We will protect your sensitive business information. We expect the same in return.

Introduction and Definitions
Welcome to the 66pixels Design and Consulting Studio website ("Website"). These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Client", "You", or "Your") and 66pixels Design and Consulting Studio ("66pixels", "We", "Us", or "Our"), a business entity established and operating under the laws of India, with its principal place of business in Hyderabad, India. By accessing this Website, using our services, or entering into any business relationship with 66pixels, you confirm that you have read, understood, and agree to be bound by these Terms in their entirety.
1. Acceptance of Terms
1.1 These Terms constitute the entire agreement between You and 66pixels regarding the use of the Website and services, superseding all prior agreements, communications, and proposals, whether oral or written.
1.2 66pixels may modify these Terms at any time. Changes take effect immediately upon posting. Continued use of the Website and services after any changes constitutes acceptance of the revised Terms.
1.3 It is your responsibility to review these Terms periodically. If you do not agree with any part of the current Terms, you must discontinue use of the Website and services.
2. Description of Services
2.1 66pixels provides professional design and consulting services, and informational tools, including:
- Branding & Identity Design: Logo creation, visual identity systems, brand guidelines, brand strategy, and related services.
- Packaging Design & Print Coordination: Structural design, graphic design, materials consultation, print vendor management, and related services.
- Digital Product Design & Development: UI/UX design for websites, web applications, and mobile apps; website and web application development; and related digital product services.
- Graphic Design Services: Marketing materials, presentations, social media graphics, infographics, print assets, and related services.
- Business & Strategy Consulting: Market analysis, brand strategy, digital transformation planning, growth strategy, and related consulting services.
- Ongoing Support & Growth: Website maintenance, design retainers, marketing support, continuous strategic advisory, and related services.
- Informational and Scheduling Tools: An AI-powered chat assistant for general guidance and a meeting scheduling system. Use of these tools is governed by Section 15.
2.2 The specific services for each engagement are defined in a separate project agreement, which forms part of these Terms. Project agreements typically outline phases such as Discovery & Strategy, Design & Iteration, Development (where applicable), and Handoff & Delivery. Payment milestones are aligned with phase completion as defined in the project agreement.
3. Client Implementation and Assumption of Risk
3.1 66pixels provides the services outlined in the project agreement. The Client assumes full responsibility for the implementation and use of all deliverables, advice, and strategies provided.
3.2 66pixels shall not be liable for any damage or loss arising from the Client's implementation or use of our services or deliverables.
3.3 66pixels does not provide legal, financial, tax, or regulatory advice. Clients should consult appropriate qualified professionals for such matters.
4. Client Obligations
4.1 To ensure the project runs well, we need the following from you:
- Provide accurate, complete, and timely information throughout the project.
- Be available for reviews and decision points within agreed timelines.
- Give clear, specific, actionable feedback — vague instructions slow things down and can increase cost.
- Secure any licences, permissions, or consents for materials you provide to us.
- Make payments in accordance with the agreed terms.
- Notify us promptly if you have concerns about the work or the process.
- Take final responsibility for proofreading and approving all deliverables before sign-off.
4.2 Failure to meet these obligations may result in project delays, additional costs, or suspension of work at 66pixels' discretion.
4.3 If a Client is unresponsive or fails to provide required materials for 30 consecutive days, we may place the project on hold as "dormant." Reactivating a dormant project may incur a restart fee. We will notify you in writing before declaring a project dormant.
5. Project Agreements, Quotes, and Payments
5.1 All projects require a signed written agreement before work begins. This document defines scope, deliverables, timelines, and payment terms. Work outside the defined scope requires a separate change order and may affect cost and timeline. No work commences until the initial payment is received.
5.2 Unless otherwise specified, payment terms are as follows:
- 50% of the total fee is due upon signing the project agreement (non-refundable).
- 30% is due upon completion of the agreed midpoint milestone.
- 20% is due prior to delivery of final files or project handoff.
5.3 Invoices are due within 15 days. A late fee of 5% applies if payment is not received within 7 days of the due date. Additional interest may apply under applicable law.
5.4 66pixels reserves the right to suspend services and withhold deliverables if payment is overdue.
5.5 Quotes and invoices are valid for 15 days from the date of issue.
5.6 All fees are exclusive of applicable taxes, which are the Client's responsibility.
5.7 Discounts apply only to retainer engagements explicitly agreed in writing, and not to one-time projects unless stated in the project agreement.
5.8 The Client agrees to reimburse 66pixels for pre-approved third-party costs incurred on their behalf, including font licences, stock imagery, and premium software. We will seek written approval before any such purchase.
6. Revisions and Changes
6.1 Unless stated otherwise in the project agreement, the project fee includes a maximum of two major design revisions.
6.2 We distinguish between minor and major changes:
- Minor changes include adjustments to sizing, colour, and positioning of design elements.
- Major changes include significant concept alterations, structural modifications, or changes to the fundamental nature of deliverables.
6.3 Additional revisions beyond the included allowance will be billed at 66pixels' standard hourly rate. Rates will be communicated in advance and agreed in writing before additional work begins.
6.4 Work outside the agreed scope is treated as a new item, subject to a separate quote.
7. Intellectual Property Rights
7.1 Unless otherwise agreed in writing, 66pixels retains all intellectual property rights — including copyrights, trademarks, and trade secrets — in all concepts, drafts, preliminary designs, source files, and materials created during the project.
7.2 Upon full payment, 66pixels grants the Client a non-transferable licence to use the final, approved deliverables for the specific purpose and media defined in the project agreement. 66pixels will not resell or repurpose the Client's unique combination of design elements as a template for another client, though we retain rights to underlying individual elements, techniques, and code.
7.3 Source files (e.g., .ai, .psd, .fig) are not included in standard deliverables and remain the intellectual property of 66pixels. Source files may be purchased through a separate Source File Buyout agreement.
7.4 The Client warrants that all materials provided to 66pixels do not infringe the intellectual property rights of any third party.
8. Third-Party Services and Materials
8.1 66pixels may use third-party services in delivering work to Clients, including AI providers for the chat assistant and calendar services for scheduling.
8.2 The Client's use of third-party services is subject to the terms and privacy policies of those providers.
8.3 66pixels is not responsible for errors or liabilities arising from third-party services used in connection with this engagement.
8.4 We will inform the Client of significant third-party tools or materials that require separate licensing. The ultimate responsibility for compliance with third-party terms rests with the Client.
8.5 The Client is responsible for any licensing fees associated with third-party materials incorporated into deliverables.
9. Limitation of Liability and Indemnification
9.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, 66PIXELS AND ITS OFFICERS, EMPLOYEES, AGENTS, AND CONTRACTORS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM: THE CLIENT'S USE OF OUR SERVICES OR DELIVERABLES; ERRORS OR OMISSIONS IN THE WORK PERFORMED; UNAUTHORISED ACCESS TO OR USE OF OUR SERVERS OR PERSONAL INFORMATION; INTERRUPTIONS TO THE WEBSITE; OR FAILURES OF THIRD-PARTY SERVICES.
9.2 66PIXELS' TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR SERVICES PROVIDED SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY THE CLIENT IN THE SIX MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
9.3 The Client is solely responsible for their brand strategy and public image. Decisions approved by the Client and their downstream consequences are the Client's responsibility.
9.4 The Client agrees to indemnify and hold harmless 66pixels and its representatives from any claims, liabilities, damages, or costs arising from: the Client's use of the Website or services; the Client's breach of these Terms; the Client's infringement of any third-party rights; and any content or materials submitted by the Client.
9.5 This indemnification obligation survives termination of these Terms and completion of any project.
10. Confidentiality and Data Protection
10.1 66pixels will keep confidential all non-public information provided by the Client, including business strategies, customer data, financial information, and proprietary processes.
10.2 The Client agrees to keep confidential 66pixels' proprietary information, including pricing, methodologies, and creative processes.
10.3 Both parties will comply with applicable data protection and privacy laws. See our Privacy Policy for how we handle personal data.
10.4 Confidentiality obligations survive the termination of these Terms indefinitely.
10.5 Confidentiality obligations do not apply to information that: becomes publicly available through no fault of the receiving party; is independently developed by the receiving party; is lawfully obtained from a third party without restriction; or is required to be disclosed by law or court order.
11. Warranty Disclaimer
11.1 THE WEBSITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
11.2 66PIXELS DOES NOT WARRANT THAT: THE WEBSITE WILL OPERATE WITHOUT INTERRUPTION OR ERROR; DEFECTS WILL BE CORRECTED; THE WEBSITE IS FREE OF HARMFUL COMPONENTS; OR RESULTS FROM USE OF THE SERVICES WILL MEET YOUR REQUIREMENTS.
11.3 66pixels does not guarantee any particular business outcome from its services or deliverables.
12. Termination
12.1 66pixels may terminate the project agreement immediately and without notice if the Client breaches these Terms or fails to meet their obligations.
12.2 The Client may terminate the project agreement subject to the following:
- Payment of all outstanding fees for work completed and approved to date.
- Payment of any cancellation fees defined in the project agreement.
- If the Client terminates after project commencement but before completion, a kill fee of 70% of the total project fee is due immediately. Any amounts already paid will be credited against this fee. This compensates 66pixels for time invested, resources committed, and opportunities declined to accommodate the project.
12.3 Upon termination, all licences granted under these Terms are immediately revoked, and the Client must cease using any materials for which full payment has not been made.
12.4 Provisions that by their nature survive termination — including IP ownership, confidentiality, indemnity, and dispute resolution — remain in effect.
13. Governing Law and Dispute Resolution
13.1 These Terms are governed by the laws of India, without regard to conflict of law principles.
13.2 Any dispute arising from these Terms that cannot be resolved through good-faith negotiation within 30 days shall be referred to binding arbitration.
13.3 Arbitration shall be conducted under the Arbitration and Conciliation Act, 1996 of India.
13.4 The place of arbitration is Hyderabad, India. The language is English. The panel consists of one arbitrator mutually agreed upon by both parties.
13.5 Arbitration decisions are final and binding and may be enforced in any court of competent jurisdiction.
13.6 Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent unauthorised use or disclosure of confidential information or intellectual property.
13.7 Both parties waive any right to a jury trial in connection with matters arising from these Terms.
14. Website Use
14.1 The content of this Website is for informational purposes only and does not constitute professional advice.
14.2 66pixels is not responsible for the accuracy, completeness, or timeliness of information on this Website.
14.3 You agree not to:
- Use the Website in any way that damages, disables, or impairs it, or interferes with others' use of it.
- Attempt to gain unauthorised access to any part of the Website or connected systems.
- Use automated tools to access or scrape the Website.
- Introduce malicious code of any kind.
15. Use of Interactive Tools (Chat Assistant and Booking)
15.1 The chat assistant is an AI-powered tool for informational purposes only. It is not a human. Responses are generated automatically and may contain inaccuracies or omissions.
15.2 Responses from the chat assistant — including any information about services, processes, or indicative pricing — do not constitute quotes, offers, or binding commitments. All project engagements are governed exclusively by a signed project agreement.
15.3 Do not enter sensitive personal, financial, or legally protected information into the chat assistant. 66pixels is not liable for data you voluntarily provide through the chat interface. Data handling is described in our Privacy Policy.
15.4 The booking tool is a convenience for scheduling initial consultations. A submitted booking request does not guarantee an appointment. All meetings are subject to confirmation by 66pixels.
16. Entire Agreement
16.1 These Terms, together with any project agreement or quote, constitute the entire agreement between the Client and 66pixels and supersede all prior communications, representations, and agreements.
16.2 No modification to these Terms is effective unless made in writing and signed by both parties.
17. Severability
17.1 If any provision of these Terms is found to be invalid or unenforceable, it shall be modified to the minimum extent necessary or severed, without affecting the validity of the remaining provisions.
17.2 The invalidity, illegality, or unenforceability of any provision shall not affect the validity, legality, or enforceability of any other provision of these Terms, which shall remain in full force and effect.
18. No Waiver
18.1 Failure to enforce any provision does not constitute a waiver of that provision.
18.2 No waiver of any breach shall be construed as a waiver of any subsequent breach.
19. Assignment
19.1 The Client may not assign or transfer their rights or obligations under these Terms without 66pixels' prior written consent.
19.2 66pixels may assign or transfer its rights or obligations without the Client's consent.
20. Non-Solicitation
During any active project agreement and for one year following its conclusion, the Client agrees not to directly or indirectly solicit, hire, or engage any 66pixels employee or key subcontractor involved in the Client's project for work that competes with 66pixels' services.
21. Portfolio Use and System Improvement
21.1 We take pride in the work we produce. Once a project has been made public, we reserve the right to feature it in our portfolio for promotional purposes, unless the Client has requested otherwise in writing and we have agreed.
21.2 Portfolio use may include images of deliverables, project descriptions, and the Client's name or logo.
21.3 The Client grants 66pixels a non-exclusive, royalty-free licence to use their name, logo, and deliverable images for portfolio and marketing purposes.
21.4 We will respect any signed NDA. Work covered by an NDA will not be featured until after public launch by the Client or expiry of the confidentiality period.
21.5 We may use anonymised, aggregated data from interactions with our website tools for internal analysis and service improvement. Personally identifiable information from these interactions will not be disclosed publicly.
22. Force Majeure
22.1 Neither party is liable for failure to perform obligations caused by events beyond their reasonable control, including acts of God, war, government action, pandemics, or similar events.
22.2 The affected party will notify the other promptly and use reasonable efforts to resume performance as soon as possible.
22.3 If a force majeure event continues for more than 60 days, either party may terminate the project agreement with written notice.
23. Good Faith
23.1 Both parties commit to acting honestly and fairly with each other in all matters relating to these Terms and any project agreement.
23.2 Both parties will work cooperatively to resolve any issues that arise during the project.
24. Independent Contractor Status
66pixels and the Client are independent contractors. Nothing in these Terms creates any agency, partnership, employment, or fiduciary relationship between the parties. Neither party has authority to contract on behalf of the other.
25. Notices
25.1 Any formal notice under these Terms shall be in writing and delivered in person, by email with confirmed receipt, or by registered post to the addresses specified in the project agreement.
26. Post-Launch Support & Warranty
26.1 For web development projects, 66pixels provides a 30-day warranty after the official launch date. During this period, we will correct any bugs attributable to the original scope of work at no charge.
26.2 A bug is defined as a demonstrable flaw in the deliverables that deviates from the agreed scope and functionality. It does not include feature requests, scope changes, or issues arising from third-party updates, hosting environment changes, or modifications made by the Client or others after delivery.
26.3 Support requested after the 30-day warranty period — including bug fixes, updates, and ongoing maintenance — is treated as new work, billed at standard rates or covered under a separate maintenance agreement.
26.4 We design with accessibility principles and best practices in mind. Unless a formal WCAG 2.1 AA audit and remediation service is explicitly included in the project agreement, our standard services do not guarantee compliance with specific legal or technical accessibility standards. Maintaining accessibility — particularly for user-generated content — is an ongoing responsibility that extends beyond the project scope.
